Terms & Conditions

These Terms and Conditions govern your use of Cindovax's image processing services. By engaging with Cindovax, you confirm that you have read, understood, and agree to be bound by the terms set out below. Please read them carefully before proceeding.

1. Definitions

For the purposes of this Agreement, the following terms carry the meanings stated:

  • "Agreement" — these Terms and Conditions, together with any service proposal or order form agreed between the parties.
  • "Service" — the image processing and catalogue imaging services offered by Cindovax, as described in Section 3.
  • "User" or "Client" — any individual, sole proprietor, or business entity that engages or enquires about the Service.
  • "We", "Us", "Our" — Cindovax, a business operating from Level 6, Menara Keck Seng, Jalan Bukit Bintang, 55100 Kuala Lumpur, Malaysia.
  • "Content" — product images, digital files, supporting materials, and documentation supplied by the Client or produced by Cindovax under this Agreement.
  • "Output" — processed images and related deliverables produced by Cindovax as part of a Service engagement.
  • "Portal" or "Website" — the Cindovax website accessible at cindovax.sbs.

2. Acceptance of Terms

By submitting an enquiry, signing a service proposal, making a payment, or otherwise commencing a service engagement with Cindovax, you confirm that:

  • You are at least 18 years of age or are an authorised representative of a registered business entity.
  • You have the legal capacity and authority to enter into this Agreement on behalf of yourself or your organisation.
  • You agree to comply with these Terms and Conditions and any additional terms referenced in a formal service proposal or scope document.

If you do not agree with any part of these terms, please do not engage our services and contact us at [email protected] to discuss your concerns before proceeding.

3. Service Description

Cindovax provides AI-assisted product image processing services tailored to e-commerce sellers and online catalogue managers in Malaysia. Our current service offerings include:

Image Tidy Trial — RM 500

A sample batch processing engagement with a written summary and a review session. Suited to sellers evaluating image consistency improvements for the first time.

Catalogue Imaging Setup — RM 1,660

Configuration of a consistent image style and processing routine, including a training session for the Client's team. Designed for sellers standardising an existing catalogue.

Visual Standards Programme — RM 2,820

A broader engagement covering batch setup, a periodic review cycle, and a maintenance guide. Suited to larger catalogues requiring ongoing quality consistency.

Service availability is subject to capacity at the time of booking. We reserve the right to modify service scope, pricing, or availability with reasonable notice. All services are currently available to clients based in Malaysia.

4. User Responsibilities

As a Client engaging Cindovax's services, you agree to the following:

4.1 Acceptable Use

  • Provide accurate, complete, and lawfully obtained product images and supporting materials.
  • Engage with our team in good faith throughout the service period.
  • Respond to requests for clarification or approval within a reasonable timeframe.

4.2 Prohibited Activities

You must not use our services to process or distribute content that:

  • Infringes the intellectual property rights of third parties.
  • Depicts or promotes unlawful goods, services, or activities under Malaysian law.
  • Contains deceptive, misleading, or fraudulent product representations.
  • Violates the rights, dignity, or privacy of any individual.

4.3 Image Ownership

By submitting images to Cindovax, you confirm that you own or have the necessary rights to those images and authorise us to process them for the purpose of fulfilling the agreed Service.

5. Intellectual Property

5.1 Cindovax Intellectual Property

All methodologies, tools, processing workflows, templates, and proprietary techniques developed or used by Cindovax remain the exclusive intellectual property of Cindovax. Nothing in this Agreement transfers ownership of these to the Client.

5.2 Client Content

Original images and product content supplied by the Client remain the property of the Client. We do not claim ownership of your source materials.

5.3 Processed Outputs

Upon full payment of applicable fees, the Client is granted a non-exclusive right to use the processed Output for their commercial e-commerce and catalogue purposes. This licence does not extend to sublicensing or redistribution of Cindovax's processing techniques.

5.4 Portfolio Use

Cindovax may use anonymised or aggregated before-and-after examples for internal quality review and, with Client consent, for illustrative purposes on our website or in sales materials. Consent may be withdrawn at any time by contacting us.

6. Payment Terms

  • Currency: All fees are quoted and payable in Malaysian Ringgit (RM).
  • Payment Methods: Accepted payment methods will be confirmed at the time of engagement. We may accept bank transfer or other methods as agreed.
  • Payment Schedule: A deposit may be required prior to commencement of work, as specified in the service proposal. Final balance is due upon delivery of Output or as otherwise agreed.
  • Late Payment: Where payment is not received by the agreed date, Cindovax reserves the right to pause service delivery until the outstanding amount is settled.
  • Cancellation and Refunds: Fees paid for work already commenced may not be refundable, subject to the specific circumstances and any separate agreement between the parties. Please raise any concerns before work begins.
  • Scope Changes: Additional work requested beyond the agreed scope may be subject to additional fees, which will be communicated and agreed upon before proceeding.

7. Service-Specific Terms

7.1 Delivery

Indicative timelines for service delivery will be discussed during the initial consultation. Timelines are estimates based on scope and complexity. Delays caused by the Client providing materials late, requesting scope changes, or failing to respond to communications may extend delivery timelines.

7.2 Review and Feedback

For services that include a review session, the Client should raise feedback or concerns during the scheduled review. Revisions beyond those included in the agreed scope may be subject to additional charges.

7.3 Confidentiality

Cindovax treats all Client materials and business information with discretion. We will not share your product images or catalogue data with unrelated third parties without your consent, except as required by law.

7.4 Training Sessions

Where a service includes a training session, attendance by at least one representative of the Client is required to fulfil that component. We are unable to reschedule training sessions more than once without mutual agreement.

8. Disclaimers

Our services are provided in good faith based on the materials and information supplied by the Client. Cindovax makes no representations or warranties regarding:

  • Specific sales outcomes, conversion rates, or commercial results from using our Output.
  • Compliance of processed images with any particular e-commerce platform's requirements, which may change independently of our work.
  • The suitability of our services for every possible use case.

The Service is provided on an "as available" basis. We endeavour to maintain quality and consistency but do not warrant that the Service will be uninterrupted or entirely free of error.

9. Limitation of Liability

To the extent permitted by Malaysian law, Cindovax's total liability to the Client for any claim arising out of or in connection with the Service shall not exceed the total fees paid by the Client for the specific service engagement giving rise to the claim.

Cindovax shall not be liable for any indirect, incidental, or consequential loss including, without limitation, loss of revenue, loss of business opportunity, or reputational harm arising from the use or inability to use the Service or its Output.

Nothing in these terms limits liability for matters that cannot be excluded under Malaysian consumer protection law.

10. Indemnification

You agree to indemnify and hold harmless Cindovax, its personnel, and its representatives from and against any claims, losses, or expenses (including reasonable legal costs) arising from: (a) your breach of these Terms and Conditions; (b) your misuse of the Service or Output; (c) any third-party claim that materials you supplied to us infringe their intellectual property or other rights; or (d) your violation of any applicable law or regulation.

11. Termination

11.1 Termination by Client

You may request to discontinue a service engagement at any time by notifying us in writing. Fees for work already completed or in progress at the time of termination may not be refundable, subject to the circumstances.

11.2 Termination by Cindovax

Cindovax may terminate or suspend a service engagement if the Client breaches these Terms, provides materials that violate applicable law, or engages in conduct that makes it impractical to continue the engagement.

11.3 Survival

Sections relating to intellectual property, confidentiality, payment obligations, disclaimers, limitation of liability, and indemnification shall continue to apply after termination.

12. Dispute Resolution

12.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the jurisdiction of the Malaysian courts.

12.2 Informal Resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting Cindovax at [email protected] and allowing a reasonable period (not less than 14 days) to reach a resolution.

12.3 Mediation

If informal resolution is unsuccessful, the parties may agree to refer the dispute to mediation through a mutually agreed mediator before pursuing litigation.

13. General Provisions

  • Entire Agreement: These Terms, together with any agreed service proposal, constitute the entire agreement between the parties with respect to the Service and supersede all prior discussions or understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure by either party to enforce any provision shall not constitute a waiver of future enforcement rights.
  • Assignment: The Client may not assign any rights or obligations under this Agreement to a third party without our written consent. Cindovax may assign this Agreement in connection with a business reorganisation or change of ownership.
  • Notices: Formal notices under this Agreement should be sent in writing to the addresses stated in the applicable service proposal or to [email protected].

14. Changes to Terms

Cindovax may update these Terms and Conditions from time to time to reflect changes to our services, legal obligations, or operating practices. The revised Terms will be published on our website with an updated "Last Updated" date.

Where changes are material, we will make reasonable efforts to notify active Clients. Your continued use of our services following any update constitutes acceptance of the revised Terms.
